Intellectual Property
All content, designs, software, trademarks, logos, and materials displayed on this site or within our products are the exclusive property of AccuShoot and are protected by applicable intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

Ownership: Licensee acknowledges that, while Licensee owns the box, stand, and screen associated with the LFX System (if purchased from Licensor), the Software and the Documentation are licensed, not sold, to Licensee by Licensor. Licensee further acknowledges that Licensor owns all intellectual property rights in and to the LFX System and all right, title, and interest, including all intellectual property rights, in and to the Software and the Documentation.

Trademark Usage: Licensee may not use AccuShoot trademarks or branding without explicit permission, except as such trademarks are incorporated into the LFX System, as otherwise permitted by this Agreement, or by Licensee for marketing the LFX System. Licensee may not remove, alter, or obscure any AccuShoot trademarks or branding that are incorporated into the LFX System.
Product Usage Terms

General: Licensee is solely responsible and liable for all uses of the LFX System resulting from access provided by Licensee, whether such access or use is permitted by or in violation of this Agreement. Without limiting the generality of the foregoing, Licensee is responsible for all acts and omissions of Users, and any act or omission by a User that would constitute a breach of this Agreement if taken by Licensee will be deemed a breach of this Agreement by Licensee.

Safe Usage: Licensee shall adhere to all safety guidelines provided by Licensor in the Documentation, including proper firearm handling, personal protective equipment use, and environmental considerations.

Facility Waiver: Prior to installation of the LFX System at Licensor’s facility, Licensee shall revise its facility waiver to name Licensor as a released party and an indemnitee under such waiver. Licensee shall cause each User to agree to the safety guidelines and applicable waivers for Licensee’s facility prior to such User engaging with the LFX System.

Installation & Setup: Licensee shall follow Licensor’s guidelines for assembly and operation provided in the Documentation, ensuring proper placement and maintenance of the LFX System.

Updates & Maintenance: Licensor will provide Licensee with Updates that Licensor may, in its sole discretion, make generally available to its licensees. Licensee acknowledges that Updates may be required for optimal performance of the LFX System and will install all Updates as soon as made available by Licensor.

Firearms Safety Rules: Licensee shall strictly follow the firearm safety rules established by Col. Jeff Cooper, which consist of:
- Treat every firearm as if it is loaded. Always assume a firearm is loaded, even if you believe it isn’t.
- Never point a firearm at anything you are not willing to destroy. Keep the muzzle pointed in a safe direction at all times.
- Keep your finger off the trigger until ready to fire. Only place your finger on the trigger when you have properly aimed at your target and are prepared to fire.
- Know your target and what is beyond it. Be sure of your target, its surroundings, and what lies beyond it to prevent unintended damage or injury.
GENERAL PROVISIONS

Relationship of the Parties: Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.

Governing Law: This Agreement shall be governed by the laws of the State of Oregon, USA, without giving effect to any conflict-of-law principle that would result in the laws of any other jurisdiction governing this Agreement.

Dispute Resolution: Disputes shall first be attempted to be resolved amicably; otherwise, they will be settled through binding arbitration. Such arbitration shall take place in Portland, Oregon and administered by the American Arbitration Association, if Licensee is located in the Unites States, or the Internation Centre for Dispute Resolution, if Licensee is located outside the United States, in accordance with the Commercial Arbitration Rules or ICDR International Arbitration Rules, as applicable, effective at such time, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. There shall be one arbitrator, who will be agreed to by the parties within 30 days of receipt by respondent of a copy of the demand for arbitration. If the parties cannot agree on an arbitrator within the time period specified then, at the request of either party, such arbitrator shall be appointed by the American Arbitration Association. The language of the arbitration shall be English.

Remedies; Waiver: Each party acknowledges that damages may be an inadequate remedy if the other party violates its obligations under this Agreement, and each party has the right, in addition to any other rights it may have, to seek injunctive relief without any obligation to post any bond or similar security.

Assignment: Licensee may not assign or transfer any of its rights or delegate any of its obligations under this Agreement, whether voluntarily, involuntarily, by operation of law or otherwise, without the prior written consent of Licensor.

Miscellaneous: This Agreement contains the entire understanding of Licensor and Licensee regarding the subject matter of this Agreement and supersedes all prior and contemporaneous negotiations and agreements, whether written or oral, between the parties with respect hereto. If any provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. This Agreement will be binding on the parties’ respective heirs, personal representatives, successors, and permitted assigns, and will inure to their benefit. The terms of this Agreement are subject to change by Licensor, in its sole discretion, upon notice to Licensee.
BY USING THE LFX SYSTEM, LICENSEE ACKNOWLEDGES HAVING READ, UNDERSTOOD, AND AGREED TO THE TERMS OF THIS AGREEMENT.

Limited Warranty

Limitation of Liability
To the maximum extent permitted by law, AccuShoot is not responsible for any indirect, incidental, special, or consequential damages arising from the use of our products or services.
